ToneScoopTerms of Use
1. Acceptance of These Terms
By downloading, accessing, or using ToneScoop (the "App"), you agree to be bound by these Terms of Use (the "Terms") and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using the App. The materials contained in the App are protected by applicable copyright and trademark law.
2. License and Restrictions
We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes. Under this license you may not:
- modify or copy the App or any of its components;
- use the App for any commercial purpose, or for any public display (commercial or non-commercial);
- attempt to decompile, reverse engineer, or derive the source code of any software contained in the App, except to the extent permitted by applicable law;
- remove any copyright or other proprietary notices from the App;
- transfer the App to another person or "mirror" the App on any other server or device.
This license shall automatically terminate if you violate any of these restrictions and may be terminated by us at any time. Upon termination of this license, you must cease all use of the App and delete all copies of the App in your possession.
3. User Content and Copyright
You may use the App only with audio, video, or other material (the "Content") for which you are the copyright holder or for which you have obtained all necessary rights and licenses. You are solely responsible for the Content you import, convert, process, or share through the App, and you agree to comply with all applicable copyright laws, including the Digital Millennium Copyright Act (DMCA) where applicable.
The App processes Content locally on your device. We do not upload, store, or access your Content on our servers.
4. Subscriptions and Purchases
The App offers subscription plans and a one-time lifetime purchase ("Pro"). Prices are displayed in the App and on the App Store / Google Play before you complete a purchase, and may vary by region.
Subscriptions are billed through your App Store / Google Play account:
- Payment is charged to your account at confirmation of purchase.
- Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period.
- Your account is charged for renewal within 24 hours prior to the end of the current period.
- Subscriptions may be managed and auto-renewal may be turned off in your account settings after purchase.
- Any unused portion of a free trial period will be forfeited when you purchase a subscription.
All purchases are processed by Apple/Google. Refunds are handled by Apple/Google in accordance with their applicable refund policies; we are not able to issue refunds directly. You acknowledge that virtual goods and digital content, once delivered, are non-refundable except as required by applicable law or as provided by the store's refund process.
5. Free Tier and Advertising
The App is free to download and offers a limited free tier:
- Free users have a daily conversion quota; when the quota is exhausted, free users may watch an incentivized video ad to earn an extra conversion (repeatable).
- The App displays ads (banners and, where applicable, full-screen and incentivized ads) to free users.
- Subscribers and lifetime purchasers (collectively "Pro users") receive unlimited conversions and an ad-free experience.
6. Disclaimer of Warranties
The App is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we make no warranties, expressed or implied, and hereby disclaim and negate all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. We do not warrant that the App will be error-free, uninterrupted, or that results of use will be accurate or reliable.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall we or our suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the App, even if we or an authorized representative of ours has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.
8. Changes to These Terms
We may revise these Terms at any time. By continuing to use the App after revisions take effect, you agree to be bound by the revised Terms. We encourage you to review these Terms periodically for updates.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without giving effect to the principles of conflict of law. Any dispute arising from or in connection with these Terms shall first be settled through friendly negotiation; if no settlement is reached, the dispute shall be submitted to the competent court having jurisdiction.
